The top one is perfectly exposed, but i feel it's a little lacking in character - it seems unlikely that he would be holding a sword like that? I'd like to see a different kind of weapon or pose!

Top Image:
I agree with Kate about the way the model is holding the weapon.
If it were a more "Transitional" pose, it would work, but it's clear that he's pressing his fingers against the blade, and that's a little unnerving.
On the plus side, the lighting/exposure is spot on!

Bottom Image:
OK...personal opinion here: The distraction for me of the bottom image is simply the proximity of his bare feet. As a full body portrait, even with the subject seated, I feel the face is the most important feature.
Here, his feet draw my attention far too much and it leaves me with an uneasy feeling. Perhaps if he were leaning forward a bit, it would have a more "engaging" feeling...

I don't feel that the shadow on the chair is a distraction at all, but then I can't really get passed the "feet thing" so I could be off mark there!

I absolutely LOVE the high key lighting of both images...it's very clean and crisp!
